**1. Introduction**
**1.1** These Terms and Conditions govern the relationship between Momentum Healthcare Staffing, hereinafter referred to as “the Agency,” and [Client Company Name], hereinafter referred to as “the Client,” collectively referred to as “the Parties.”
**2. Services**
**2.1** The Agency shall provide staffing services to the Client as agreed upon in a separate Service Agreement or Work Order.
**3. Staffing Assignments**
**3.1** The Agency will provide qualified personnel to the Client based on their staffing needs and requirements.
**3.2** The Client is responsible for providing necessary information and orientation to the personnel to ensure they are adequately prepared for their assignments.
**4. Billing and Payment**
**4.1** Billing terms and rates will be outlined in the Service Agreement or Work Order.
**4.2** The Client agrees to pay invoices within the specified timeframe and in accordance with the agreed-upon terms.
**5. Confidentiality**
**5.1** Both Parties shall maintain the confidentiality of all proprietary, client, and employee information obtained during the course of the engagement.
**6. Liability and Insurance**
**6.1** The Agency shall maintain professional liability insurance as required by law and industry standards.
**6.2** The Client shall maintain insurance coverage as necessary to protect against any potential liability arising from the personnel provided by the Agency.
**7. Termination**
**7.1** Either Party may terminate the agreement with written notice, subject to the terms and conditions outlined in the Service Agreement.
**8. Dispute Resolution**
**8.1** In the event of a dispute arising from this agreement, the Parties agree to first attempt to resolve it through good-faith negotiations.
**8.2** If negotiation fails, the dispute shall be referred to mediation or arbitration as specified in the Service Agreement.
**9. Governing Law**
**9.1** These Terms and Conditions shall be governed by and construed in accordance with the laws of [Jurisdiction].
**10. Entire Agreement**
**10.1** These Terms and Conditions, along with any applicable Service Agreements or Work Orders, constitute the entire agreement between the Parties and supersede any prior understandings or agreements, whether written or oral.

By accepting these Terms and Conditions, both the Agency and the Client acknowledge their understanding and agreement to the terms outlined herein.
